Orbit Skate Mini Participant Liability Waiver and Release
READ CAREFULLY BEFORE SIGNING THIS DOCUMENT AFFECTS LEGAL RIGHTS
This Participant Liability Waiver and Release (the "Agreement") is entered into for the benefit of E&S; Legacy Ventures LLC, doing business as Orbit Skate Mini, and the other Released Parties identified below. It applies to roller skating, instruction, games, parties, events, use of rental equipment, and all related activities at or connected with Orbit Skate Mini (collectively, the "Activities").
1 Participant and Agreement Scope
I am the adult participant identified on the signature page, or I am the parent or legal guardian of each minor participant identified there. In exchange for being permitted to enter the premises or participate in the Activities, I agree to this
Agreement for myself and, to the fullest extent permitted by Texas law, for each identified minor participant. This Agreement applies to each visit and Activity occurring during the twelve months after the date signed, unless Orbit Skate Mini requires a new waiver sooner.
2 Acknowledgment of Risks
I understand that roller skating and related Activities involve inherent and other risks that may cause property damage, serious bodily injury, illness, disability, paralysis, or death. Risks include falls; loss of balance or control; collisions with people, walls, rails, furniture, equipment, or other objects; uneven, slippery, or obstructed surfaces; skate or equipment failure or improper fit; actions or inattention of participants, guests, staff, contractors, or spectators; crowding; lighting, sound, or special effects; physical exertion; and delayed or unavailable medical care. I understand that protective equipment cannot eliminate all risks.
3 Voluntary Participation and Assumption of Risk
I voluntarily choose for myself or the minor participant to enter the premises and participate. I knowingly and voluntarily accept and assume all risks of the Activities, whether known or unknown, inherent or otherwise, including risks arising from the ordinary negligence of a Released Party, to the fullest extent permitted by law. I accept responsibility for deciding whether participation is appropriate and for complying with posted rules and staff instructions.
4 Health Fitness and Safety
I represent that each participant is physically and mentally able to participate safely and has no condition that would make participation unsafe. I will notify staff of relevant limitations, use properly fitted skates and safety equipment, remain within my abilities, and stop participating if pain, dizziness, illness, equipment problems, or unsafe conditions occur. I understand that helmets and other protective gear may reduce but do not eliminate injury risk.
5 RELEASE OF LIABILITY INCLUDING NEGLIGENCE
I RELEASE AND FOREVER DISCHARGE E&S; LEGACY VENTURES LLC D/B/A ORBIT SKATE MINI, ITS OWNERS,
MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, VOLUNTEERS, LANDLORD, PROPERTY OWNER,
MITCHELL BUSINESS PARK, SHERMAN COMPANIES, ALL ASSOCIATED ENTITIES, AFFILIATES, SPONSORS,
EQUIPMENT PROVIDERS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "RELEASED PARTIES") FROM ALL
CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, OR CAUSES OF ACTION ARISING FROM OR
RELATED TO ENTRY ON THE PREMISES OR PARTICIPATION IN THE ACTIVITIES, INCLUDING CLAIMS CAUSED IN WHOLE OR IN PART BY THE PRESENT OR FUTURE ORDINARY NEGLIGENCE OF ANY RELEASED PARTY, TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW.
THIS RELEASE DOES NOT APPLY TO GROSS NEGLIGENCE, RECKLESS OR INTENTIONAL MISCONDUCT, OR ANY LIABILITY THAT CANNOT LAWFULLY BE WAIVED.
6 Covenant Not to Sue
To the fullest extent permitted by law, I agree not to sue or bring a claim against a Released Party for a matter released by this Agreement. This promise does not prevent a claim that Texas law does not permit the parties to waive.
7 Indemnification
I agree to defend, indemnify, and hold harmless the Released Parties, expressly including Mitchell Business Park, Sherman Companies, and all associated entities, from claims, liabilities, damages, judgments, and reasonable attorneys' fees arising from (a) my acts or omissions, (b) the acts or omissions of a minor participant for whom I sign, (c) my breach of this
Agreement, or (d) a claim brought by or on behalf of that minor participant concerning a matter covered by this Agreement, to the fullest extent permitted by law. This obligation does not require indemnification for gross negligence, reckless or intentional misconduct, or nonwaivable liability of a Released Party.
8 Medical Care Authorization
If I or a minor participant becomes ill or injured and I am unavailable or unable to respond, I authorize Orbit Skate Mini personnel to provide reasonable first aid and to contact emergency medical services. I authorize licensed medical providers to evaluate and treat the participant when, in their judgment, prompt care is reasonably necessary. I understand Orbit Skate Mini does not promise that medical personnel will be present. I accept responsibility for resulting medical and transportation costs, except to the extent caused by conduct that cannot lawfully be waived.
9 Personal Property
I am responsible for personal property brought onto the premises. Orbit Skate Mini is not responsible for loss, theft, or damage except to the extent caused by conduct that cannot lawfully be waived.

Additional Terms
10 Rules and Removal
Each participant must follow posted rules and staff instructions, skate in the designated direction, avoid horseplay and reckless conduct, and use equipment only as intended. Orbit Skate Mini may stop participation or require a person to leave for unsafe or disruptive conduct. Removal does not create a right to a refund except as provided by Orbit Skate Mini's written booking or refund policy.
11 Photo and Media Choice
Media permission is optional and is not a condition of participation. Choose one option on the signature page. If permission is granted, I authorize Orbit Skate Mini to photograph or record the participant and to use the participant's image, voice, and likeness in lawful promotional materials, social media, and its website without compensation. I may revoke permission for future use by written notice, but revocation will not affect material already produced or published.
12 Governing Law Venue and Severability
Texas law governs this Agreement. Any lawsuit relating to this Agreement or the Activities must be filed in a court of competent jurisdiction in Hunt County, Texas, unless applicable law requires another location. If any provision is held invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.
13 Entire Agreement and Electronic Signatures
This Agreement is the entire agreement concerning the subjects it covers and may be modified only in a writing signed by the participant or parent or legal guardian and an authorized Orbit Skate Mini representative. A typed, drawn, clicked, or other electronic signature intended to sign this Agreement has the same effect as a handwritten signature to the extent permitted by law. A copy may be treated as an original.
14 Acknowledgment of Understanding
I CONFIRM THAT I HAVE READ THIS ENTIRE AGREEMENT, UNDERSTAND THAT IT INCLUDES AN ASSUMPTION OF
RISK AND A RELEASE OF CLAIMS INCLUDING CLAIMS BASED ON THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES, HAVE HAD THE OPPORTUNITY TO ASK QUESTIONS, AND SIGN FREELY AND VOLUNTARILY. I UNDERSTAND THAT I AM GIVING UP SUBSTANTIAL LEGAL RIGHTS.

PARTICIPATION, AGREE TO THE ASSUMPTION OF RISK, RELEASE, COVENANT NOT TO SUE, AND INDEMNIFICATION TERMS ABOVE TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, AND AGREE TO INSTRUCT THE MINOR TO FOLLOW ALL SAFETY RULES.
