SANDISON FARMS

PARTICIPANT AGREEMENT, ASSUMPTION OF RISK, RELEASE OF LIABILITY, AND PARENT/GUARDIAN ACKNOWLEDGMENT

IMPORTANT — PLEASE READ CAREFULLY BEFORE SIGNING.

THIS AGREEMENT AFFECTS IMPORTANT LEGAL RIGHTS. IT CONTAINS AN ASSUMPTION OF RISK AND A RELEASE OF CERTAIN CLAIMS, INCLUDING, TO THE EXTENT PERMITTED BY OREGON LAW, CLAIMS ALLEGING ORDINARY NEGLIGENCE.

By entering property owned, leased, occupied, or operated by Sandison Farms, attending a Sandison Farms event, or participating in an activity offered or permitted by Sandison Farms, I voluntarily agree to the following terms.

For purposes of this Agreement:

“Sandison Farms” includes Sandison Farms LLC (located at 920 Dead Indian Memorial Road, Ashland OR and/or its Premises) and, as applicable, its owners, members, managers, employees, volunteers, agents, representatives, affiliates, event personnel, and property owners.

“Minor” means a person under 18 years of age or any adult requiring the supervision of another adult.

  1. OREGON AGRITOURISM STATUTORY WARNING Pursuant to ORS 30.677

Under Oregon law, there is no liability for an injury to or the death of a participant in an agri-tourism activity conducted at this agri-tourism location if the injury or death results from the inherent risks of the agri-tourism activity. Inherent risks of agri-tourism activities are risks of injury inherent to land, equipment and animals, as well as the potential for you to act in a negligent manner that may contribute to your injury or death. You are assuming the risk of participating in this agri-tourism activity.

I acknowledge that I have been provided the Oregon agritourism statutory warning and understand that participation in agritourism activities involves inherent risks.

  1. FARM AND OUTDOOR ENVIRONMENT

I UNDERSTAND THAT I AM ENTERING A WORKING FARM, AGRICULTURAL PROPERTY, AND/OR OUTDOOR SPACE. A FARM IS NOT A CONTROLLED INDOOR ENVIRONMENT. I MUST REMAIN VIGILANT, USE REASONABLE CARE, AND MAINTAIN AWARENESS OF MY SURROUNDINGS.

Farm and outdoor conditions may include, without limitation:

• Uneven, rough, rocky, muddy, wet, icy, dusty, slippery, sloped, or unstable ground;

• Holes, ruts, roots, rocks, vegetation, branches, ditches, irrigation lines, hoses, cords, fences, gates, debris, and changes in elevation;

• Tractors, trailers, vehicles, machinery, implements, tools, lumber, fencing materials, farm supplies, stacked or stored materials, electrical equipment, heaters, fire pits, and other agricultural or event equipment;

• Moving vehicles, tractors, trailers, and machinery;

• Rain, wind, heat, cold, snow, ice, smoke, darkness, reduced visibility, and changing weather;

• Insects, bees, wasps, ticks, wildlife, livestock, domestic animals, birds, animal waste, microorganisms, vegetation, pollen, dust, soil, and mud;

• Crowds, children, other guests, and the actions of other participants; and

• Other natural, agricultural, recreational, or outdoor conditions ordinarily or reasonably associated with farms, agricultural operations, and outdoor events.

FARM EQUIPMENT, VEHICLES, MACHINERY, MATERIALS, STRUCTURES, TOOLS, FENCES, SUPPLIES, AND OTHER OBJECTS ARE NOT TO BE TOUCHED, OPERATED, CLIMBED UPON, ENTERED, MOVED, OR OTHERWISE INTERACTED WITH UNLESS SANDISON FARMS EXPRESSLY AUTHORIZES THAT INTERACTION.

I agree to obey signs, barriers, ropes, fences, and reasonable instructions and to remain within areas designated for guests.

I understand that I am responsible for maintaining reasonable awareness of my surroundings and for helping minors and/or anyone under my supervision avoid hazards.

  1. ANIMAL INTERACTIONS

Sandison Farms may have goats, alpacas, chickens, ducks, other birds, livestock, domestic animals, and other animals on or near the property.

I UNDERSTAND THAT ANIMALS ARE LIVING CREATURES WHOSE ACTIONS CANNOT BE COMPLETELY PREDICTED OR CONTROLLED, EVEN WHEN AN ANIMAL IS NORMALLY FRIENDLY, DOCILE, SOCIALIZED, TRAINED, OR ACCUSTOMED TO PEOPLE.

Potential animal-related risks include, without limitation, being bitten, scratched, pecked, kicked, stepped upon, pushed, butted, knocked down, chased, startled, exposed to animal waste or microorganisms, or otherwise injured.

I will not chase, tease, corner, strike, pick up, restrain, ride, feed, enter an enclosure with, or otherwise interact with an animal except when Sandison Farms expressly permits the interaction.

I agree to follow all posted rules and instructions concerning animals.

I understand that Sandison Farms permitting interaction with an animal is not a guarantee or representation that the animal will behave in any particular manner.

I VOLUNTARILY ACCEPT THE INHERENT RISKS ASSOCIATED WITH ANY ANIMAL INTERACTION IN WHICH I CHOOSE TO PARTICIPATE.

  1. TRACTOR, TRAILER, WAGON, HAYRIDE, AND PASSENGER-RIDE RISKS

Sandison Farms may offer recreational or transportation activities involving tractors, trucks, wagons, trailers, hay wagons, utility vehicles, or similar equipment (hereinafter collectively referred to as “Passenger Rides”).

Passenger Rides may occur on fields, farm roads, gravel roads, dirt roads, hills, slopes, driveways, parking areas, uneven terrain and, when legally permitted, public streets or roads.

FARM EQUIPMENT DOES NOT RIDE LIKE A PASSENGER AUTOMOBILE.

I SPECIFICALLY UNDERSTAND THAT TRACTORS, FARM WAGONS, TRAILERS, AND SIMILAR EQUIPMENT MAY PROVIDE A STIFF, ROUGH, BOUNCY, JERKY, OR OTHERWISE UNCOMFORTABLE RIDE.

Even during normal operation, passengers may experience:

• Bumps and jolts;

• Bouncing and vibration;

• Swaying or lateral movement;

• Sudden or noticeable starts and stops;

• Turns or changes in direction;

• Changes in speed;

• Movement caused by hills or slopes;

• Potholes, ruts, rocks, bumps, road imperfections, or uneven terrain; and

• Unexpected movement caused by terrain, traffic, weather, or surrounding conditions.

I UNDERSTAND THAT AN ACCIDENT, COLLISION, OR EQUIPMENT MALFUNCTION DOES NOT HAVE TO OCCUR FOR AN INJURY TO OCCUR. NORMAL MOVEMENT OF A TRACTOR, WAGON, OR TRAILER OVER FARM TERRAIN OR ROAD SURFACES MAY CAUSE OR CONTRIBUTE TO INJURY.

Potential injuries include, without limitation:

• Bruises, cuts, scrapes, and abrasions;

• Muscle soreness;

• Strains and sprains;

• Soft-tissue injuries;

• Neck or back strain;

• Whiplash-type injuries;

• Aggravation of preexisting neck, back, spinal, joint, muscular, or other physical conditions;

• Injuries caused by contacting another passenger, a seat, railing, wall, floor, or another portion of the passenger area;

• Loss of balance or falls;

• Head, neck, back, shoulder, arm, hand, hip, knee, leg, or other bodily injuries;

• Fractures and other serious bodily injuries; and

• In unusual circumstances, permanent disability or death.

I AM RESPONSIBLE FOR DETERMINING WHETHER I AND EACH MINOR UNDER MY SUPERVISION CAN SAFELY TOLERATE A ROUGH, BOUNCY, OR JERKY RIDE.

A person who is pregnant or has a neck, back, spinal, joint, balance, mobility, recent surgical, or other physical condition that could reasonably be aggravated by sudden movement should carefully consider whether participation is appropriate.

No person is required to participate in a Passenger Ride.

PASSENGER SAFETY RULES

I agree that I and minors under my supervision will:

• Board and exit only when authorized and after the vehicle has stopped;

• Remain within the designated passenger area;

• Remain seated whenever instructed;

• Keep hands, arms, legs, clothing, and belongings within the passenger area;

• Stay clear of wheels, hitches, tractor components, and moving equipment;

• Not stand, jump, climb, horseplay, intentionally rock the passenger vehicle, or attempt to enter or exit while moving;

• Not distract or interfere with the driver;

• Not throw objects from the passenger area;

• Not attempt to touch passing objects, vegetation, signs, vehicles, equipment, or structures; and

• Immediately comply with reasonable safety instructions.

CHILDREN MUST BE ACTIVELY SUPERVISED BY THEIR ACCOMPANYING ADULT DURING BOARDING, THE ENTIRE RIDE, AND EXITING.

PUBLIC-ROAD RIDES

If a Passenger Ride travels upon or crosses a public street or roadway, I understand that additional risks may arise from automobiles, trucks, motorcycles, bicycles, pedestrians, intersections, traffic signals, emergency vehicles, roadway conditions, and the conduct of third parties whom Sandison Farms cannot control.

I understand that entering or exiting near a roadway may present additional hazards and agree not to board or exit until directed to do so.

PASSENGER-RIDE ACKNOWLEDGMENT

I UNDERSTAND THAT PASSENGER RIDES MAY BE ROUGH, BOUNCY, OR JERKY AND MAY RESULT IN BRUISING, WHIPLASH-TYPE INJURIES, NECK OR BACK INJURY, SOFT-TISSUE INJURY, FALLS, OR OTHER INJURY EVEN WITHOUT AN ACCIDENT OR COLLISION.

I voluntarily accept the inherent risks of any Passenger Ride in which I choose to participate.

  1. MINORS AND ADULT SUPERVISION

SANDISON FARMS DOES NOT ASSUME RESPONSIBILITY FOR SUPERVISING CHILDREN OR ADULTS REQUIRING SUPERVISION BROUGHT TO THE PROPERTY BY A PARENT, GUARDIAN, OR OTHER SUPERVISING ADULT.

If I bring or supervise a Minor, I agree that:

I AM RESPONSIBLE FOR ACTIVELY AND CONTINUOUSLY SUPERVISING THAT MINOR WHILE THE MINOR IS ON THE PROPERTY.

I am responsible for determining whether each Minor under my supervision has the age, maturity, physical ability, judgment, clothing, footwear, and other characteristics necessary to safely participate in a particular Activity.

I understand that Minors may fail to recognize or appreciate hazards that would be apparent to an adult.

I will therefore provide supervision appropriate to each Minor’s age, maturity, abilities, and circumstances.

I will keep Minors under my supervision away from machinery, moving vehicles, tools, fires, equipment, restricted areas, stored materials, animals, fences, steep terrain, roadways, and other potential hazards except where the particular activity or interaction is expressly authorized.

THE PRESENCE OF A SANDISON FARMS EMPLOYEE, VOLUNTEER, DRIVER, OR REPRESENTATIVE DOES NOT TRANSFER MY SUPERVISORY RESPONSIBILITY TO SANDISON FARMS.

I accept responsibility for actively supervising the Minor(s) accompanying me and for determining whether each Minor should participate in a particular Activity.

Initial Here

  1. VOLUNTARY PARTICIPATION AND SAFETY-BASED REFUND

Participation in recreational Activities is voluntary.

I may decline or discontinue participation when I believe an Activity is inappropriate or unsafe for me or a Minor under my supervision.

IF I HAVE PAID A SEPARATE FEE FOR AN ACTIVITY AND, BEFORE OR AT ANY TIME DURING PARTICIPATING, DETERMINE THAT I OR A MINOR UNDER MY SUPERVISION SHOULD NOT PARTICIPATE BECAUSE OF A SAFETY CONCERN, UPON PROVIDING NOTICE TO SANDISON FARMS, SANDISON FARMS WILL REFUND THE AMOUNT PAID FOR THAT ACTIVITY AND PROVIDE ANY REASONABLE ASSISTANCE FOR ME TO REMOVE MYSELF FROM THE ACTIVITY.

Purchasing admission or an activity ticket does not obligate me to participate.

I understand that I am responsible for using my own reasonable judgment in deciding whether I or a Minor under my supervision should participate.

  1. FOOD, ALLERGIES, AND DIETARY CONCERNS

Food and beverages available at Sandison Farms events may contain or come into contact with allergens, including milk, eggs, wheat, soy, peanuts, tree nuts, sesame, fish, shellfish, and other substances capable of causing allergic reactions.

UNLESS EXPRESSLY REPRESENTED OTHERWISE, FOOD AND BEVERAGES OFFERED OR SOLD AT THE EVENT ARE NOT GUARANTEED TO BE FREE OF ANY PARTICULAR ALLERGEN OR FREE FROM CROSS-CONTACT WITH ALLERGENS.

I am responsible for determining whether a food or beverage is appropriate for me and for each Minor under my supervision.

If I or a Minor under my supervision has a serious allergy, intolerance, medical dietary restriction, or other dietary concern, I agree to inquire about ingredients before consumption and refrain from consuming an item when its suitability cannot reasonably be determined.

Nothing in this Agreement excuses Sandison Farms or any food vendor from compliance with applicable food-safety laws or from any legal duty that cannot lawfully be waived.

  1. ALCOHOL

Alcohol may be possessed or consumed only by persons legally permitted to do so.

NO PERSON UNDER 21 YEARS OF AGE MAY CONSUME ALCOHOL.

Unless Sandison Farms encourages guests to follow an individual limit of a maximum of TWO alcoholic beverages. However, I understand Sandison Farms is not responsible and/or capable of tracking the exact amount of alcohol I may consume on the Premises and/or knowing of any alcohol I may have consumed in addition to alcohol I have purchased from Sandison Farms.

The two-drink maximum is a ceiling and is NOT a representation or guarantee that consuming two alcoholic beverages is safe for any particular person or that a person who consumes two alcoholic beverages will be physically or legally capable of driving.

I understand that alcohol can impair judgment, balance, coordination, reaction time, perception, and decision-making and that the amount of alcohol that can cause noticeable and perceptible impairment may be different for every person.

If I choose to consume alcohol, I accept responsibility for my decision to consume it and for arranging safe transportation.

WHILE AT SANDISON FARMS OR WHILE TRANSPORTING MYSELF AWAY FROM SANDISON FARMS, I WILL NOT DRIVE OR OPERATE A MOTOR VEHICLE, TRACTOR, MACHINERY, OR OTHER EQUIPMENT WHILE IMPAIRED.

I understand that Sandison Farms may refuse or discontinue alcohol service at any time.

Nothing in this Agreement authorizes the furnishing of alcohol in violation of Oregon law or releases any duty or liability that applicable law does not permit to be released.

  1. GENERAL ASSUMPTION OF RISK

I understand that farm, outdoor, recreational, animal, and agricultural Activities involve inherent risks that cannot be completely eliminated without fundamentally changing the nature of those Activities.

I understand the specific risks described throughout this Agreement.

I KNOWINGLY AND VOLUNTARILY ASSUME THE INHERENT RISKS ASSOCIATED WITH THE ACTIVITIES IN WHICH I CHOOSE TO PARTICIPATE.

I understand that injuries associated with such risks may include soreness, bruising, cuts, abrasions, sprains, strains, fractures, allergic reactions, illness, animal-related injuries, neck or back injuries, soft-tissue injuries, serious bodily injury, permanent disability, or death.

I understand that my participation is voluntary.

ASSUMPTION-OF-RISK ACKNOWLEDGMENT

I HAVE READ THE ASSUMPTION-OF-RISK PROVISIONS ABOVE. I UNDERSTAND THE RISKS THAT HAVE BEEN DISCLOSED TO ME AND VOLUNTARILY ASSUME THE INHERENT RISKS ASSOCIATED WITH THE ACTIVITIES IN WHICH I CHOOSE TO PARTICIPATE.

  1. RELEASE OF LIABILITY — PLEASE READ CAREFULLY

THIS SECTION AFFECTS IMPORTANT LEGAL RIGHTS

In consideration for being permitted to enter the Premises and/or participate in Activities:

TO THE FULLEST EXTENT PERMITTED BY OREGON LAW, I RELEASE AND DISCHARGE SANDISON FARMS AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, VOLUNTEERS, AGENTS, REPRESENTATIVES, AFFILIATES, EVENT PERSONNEL, AND APPLICABLE PROPERTY OWNERS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM CLAIMS FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING FROM THE INHERENT RISKS THAT I HAVE KNOWINGLY AND VOLUNTARILY ASSUMED UNDER THIS AGREEMENT.

TO THE EXTENT PERMITTED AND ENFORCEABLE UNDER OREGON LAW, I EXPRESSLY INTEND ALSO TO RELEASE THE RELEASED PARTIES FROM CLAIMS FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE CAUSED BY THE ORDINARY NEGLIGENCE OF A RELEASED PARTY IN CONNECTION WITH MY PRESENCE ON THE PREMISES OR PARTICIPATION IN THE ACTIVITIES.

I UNDERSTAND THAT THE PRECEDING PARAGRAPH EXPRESSLY CONCERNS CLAIMS ALLEGING THAT SANDISON FARMS OR ANOTHER RELEASED PARTY WAS ITSELF OR THEMSELVES ORDINARILY NEGLIGENT.

This Agreement does not purport to release liability for intentional injury, willful or wanton misconduct, or any claim, duty, or liability that applicable law prohibits the parties from releasing by contract.

I HAVE READ THIS RELEASE OF LIABILITY. I UNDERSTAND THAT IT CONTAINS A RELEASE OF LEGAL CLAIMS AND EXPRESSLY ADDRESSES ORDINARY NEGLIGENCE TO THE EXTENT SUCH A RELEASE IS PERMITTED AND ENFORCEABLE UNDER OREGON LAW. I VOLUNTARILY AGREE TO THIS RELEASE.

Initial Here

  1. EFFECT IF ANY PORTION OF THIS AGREEMENT IS UNENFORCEABLE

The provisions of this Agreement are intended to operate independently to the greatest extent permitted by Oregon law.

THE INVALIDITY OR UNENFORCEABILITY OF ONE PROVISION IS NOT INTENDED TO INVALIDATE AN OTHERWISE VALID ASSUMPTION OF RISK, ACKNOWLEDGMENT OF RISK, PARTICIPANT OBLIGATION, SAFETY AGREEMENT, SUPERVISORY OBLIGATION, RELEASE, OR OTHER PROVISION.

A. ORDINARY-NEGLIGENCE RELEASE

Assuming the release of claims arising from ordinary negligence is valid and enforceable under applicable Oregon law, the parties intend that it be enforced according to its terms to the fullest extent permitted by law.

B. FALLBACK IF ORDINARY-NEGLIGENCE RELEASE IS UNENFORCEABLE

IF A COURT DETERMINES THAT ALL OR PART OF THE RELEASE OF CLAIMS ARISING FROM A RELEASED PARTY'S ORDINARY NEGLIGENCE IS INVALID OR UNENFORCEABLE, THE PARTIES INTEND THAT ONLY THE INVALID OR UNENFORCEABLE PORTION BE DISREGARDED OR LIMITED TO THE EXTENT PERMITTED BY LAW.

The remaining provisions of this Agreement shall remain independently effective to the fullest extent permitted by law, including, without limitation:

• Acknowledgments concerning the nature and condition of the farm;

• Acknowledgments of specifically disclosed hazards;

• Assumption of inherent risks;

• Animal-risk acknowledgments;

• Passenger-Ride risk acknowledgments;

• Participant safety obligations;

• Parent, guardian, and supervising-adult obligations;

• Voluntary-participation provisions; and

• All other provisions capable of lawful independent enforcement.

C. PARTIAL ENFORCEABILITY

If a release, assumption of risk, or other provision may lawfully apply to some risks, claims, Activities, persons, or circumstances but not others, the parties intend that the provision remain effective as to those risks, claims, Activities, persons, and circumstances for which enforcement is permitted.

D. ASSUMPTION-OF-RISK PROVISIONS

If a court determines that an assumption-of-risk provision encompasses a risk that cannot lawfully be assumed, the parties intend that the provision remain effective as to inherent, known, disclosed, obvious, or otherwise legally assumable risks to the fullest extent permitted by Oregon law.

E. SEVERABILITY

If a particular word, phrase, sentence, paragraph, clause, or provision is determined to be invalid or unenforceable, that portion shall be severed or limited to the minimum extent necessary, when permitted by Oregon law, without invalidating independently enforceable portions of this Agreement.

F. NO UNLAWFUL EXPANSION

Nothing in this section is intended to waive a right that cannot lawfully be waived, excuse conduct that cannot lawfully be excused, or require a court to reform a provision when applicable law does not permit such reformation.

Rather, the parties intend every independently lawful provision of this Agreement to remain effective even if another provision cannot be enforced.

Initial Here

  1. PARTICIPANT CONDUCT AND COMPLIANCE WITH SAFETY RULES

I accept responsibility for my own conduct while on the property.

I understand that disregarding a warning, entering a restricted area, interacting with equipment or animals without authorization, failing to follow Passenger Ride rules, participating despite a known limitation, consuming alcohol, engaging in horseplay, or failing to exercise reasonable care may increase the risk of injury to me or others.

I agree to exercise reasonable care for my safety, the safety of Minors under my supervision, and the safety of other guests.

Sandison Farms may direct any person to discontinue an Activity or leave an area when reasonably necessary for safety or failure to follow event rules.

  1. EMERGENCIES

If I or a Minor under my supervision experiences an injury, allergic reaction, illness, animal-related injury, or other emergency, I agree to promptly notify Sandison Farms personnel when reasonably possible.

I understand that Sandison Farms does not represent or guarantee that professional medical personnel will be immediately available and that emergency-response times may vary.

  1. GOVERNING LAW; INTERPRETATION; SEVERABILITY

This Agreement shall be governed by and interpreted under the laws of the State of Oregon.

Each assumption of risk, acknowledgment, participant obligation, supervisory obligation, safety agreement, and release provision is intended to have independent legal significance.

If any provision is held invalid or unenforceable, the remaining provisions shall remain effective to the fullest extent permitted by applicable law.

If a provision is only enforceable to a lesser extent than written, the parties intend that it be enforced and interpreted to the lesser extent, whichever lesser intent is most inclusive of the original provision, when Oregon law permits such enforcement.

Nothing in this Agreement shall be interpreted to waive, release, or limit a duty or liability when applicable law prohibits such waiver, release, or limitation.

  1. MINORS ACCOMPANYING PARTICIPANT

I identify below every Minor whom I am bringing onto the property and/or for whom I am accepting supervisory responsibility.

For each Minor identified, I represent that I am:

• The Minor's parent;

• The Minor's legal guardian; or

• An adult authorized by the Minor's parent or legal guardian to supervise the Minor during this event.

I consent to the Minor's participation in Activities that I determine are appropriate for that Minor.

I ACKNOWLEDGE THAT I, RATHER THAN SANDISON FARMS PERSONNEL, AM RESPONSIBLE FOR ACTIVELY SUPERVISING EACH MINOR IDENTIFIED ABOVE AND FOR DETERMINING WHETHER EACH MINOR SHOULD PARTICIPATE IN A PARTICULAR ACTIVITY.

I agree that the risk acknowledgments and safety obligations contained in this Agreement inform my decisions concerning the participation and supervision of the Minor(s) accompanying me.
